Terms of Service

These Terms of Service (“Terms”) govern your use of the VitalWay Health platform operated by VitalWay Health, Inc. (“VitalWay,” “we,” or “us”). By creating an account, you agree to be bound by these Terms.

1. Eligibility

You must be at least 18 years old and a resident of a state where VitalWay operates to use our services. By creating an account, you represent that you meet these requirements.

2. Services

VitalWay provides a digital platform for asynchronous healthcare services, including health intake collection, lab upload, and provider review. Our services connect you with independently contracted licensed healthcare providers in your state.

VitalWay is not a substitute for emergency medical care, primary care, or urgent care. Providers on our platform do not establish a traditional ongoing physician-patient relationship. Each review is an independent clinical consultation.

3. Not Emergency Services

VitalWay services are not appropriate for emergency medical situations. Do not use VitalWay if you are experiencing symptoms of a medical emergency including chest pain, difficulty breathing, severe bleeding, loss of consciousness, or stroke symptoms.

4. Account Responsibilities

• You are responsible for maintaining the security of your account credentials.
• You must provide accurate, complete, and current health information.
• You must promptly update your information if it changes.
• You may not share your account with others.

Providing false or incomplete health information may result in clinically inappropriate recommendations and is a violation of these Terms.

5. Payment and Billing

Subscriptions are billed monthly on your account start date. Prices are displayed clearly on our Pricing page. Medication costs, lab fees, and other ancillary services are billed separately.

We reserve the right to modify our prices with 30 days' notice. Cancellations take effect at the end of your current billing period.

6. Telehealth Consent

By using VitalWay, you consent to telehealth services including the asynchronous review of your health information by licensed providers. You acknowledge the limitations of telehealth care and the importance of maintaining a relationship with a primary care provider.

7. Intellectual Property

All content on the VitalWay platform, including text, graphics, software, and trademarks, is owned by VitalWay or its licensors. You may not reproduce, distribute, or create derivative works without our written permission.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VITALWAY'S LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR YOUR USE OF OUR SERVICES IS LIMITED TO THE AMOUNT YOU PAID TO VITALWAY IN THE 12 MONTHS PRECEDING THE CLAIM.

9. Disclaimers

OUR SERVICES ARE PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND. WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY SPECIFIC HEALTH OUTCOME WILL RESULT FROM USE OF OUR SERVICES.

10. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

11. Changes to Terms

We may update these Terms periodically. Material changes will be communicated via email with at least 14 days' notice before they take effect.
